General Terms and Conditions (GTC) for Identic.ai

1. Introduction

Identic.ai GmbH, located at Habsburgerstrasse 50D, 5200 Brugg AG, Switzerland (hereafter referred to as "the Company"), provides a plug-and-play solution for generating 3D models and AR experiences from a single image of the user's products. These General Terms and Conditions (GTC) govern the use of the services offered by the Company via the website https://identic.ai (the "Website") and are applicable to all users ("User") who subscribe to the services.

2. Services Provided

The Company offers various subscription models, which provide different performance limits and features, including:

  • 3D model generation
  • Augmented Reality (AR) product views
  • AR and 3D button integration for product pages
  • Storage for assets

3. Subscription and Payment Terms

Users may select from the subscription models listed on the Website. Payment is due at the beginning of each subscription month and is automatically charged using the payment method provided by the User. Subscription charges are made via credit card or other payment methods the User attaches to their account. The payment details and card information are securely stored by the payment provider, Stripe. Identic.ai does not store payment data on its servers.

It is the User's responsibility to provide and maintain accurate and legal information. Failure to do so may result in termination or suspension of services.

4. Performance Limits

Each subscription model has performance limits, which include:

  • Storage capacity
  • AR views (API calls)
  • AI 3D generations
  • Number of product pages with integrated AR and 3D buttons

If a User reaches the limits of their subscription model within a given month, services will be paused until the next subscription month unless the User upgrades their subscription.

5. Upgrading and Downgrading

  • Users may upgrade their subscription at any time, and the remaining value of the current plan will be deducted from the cost of the upgraded plan.
  • Downgrading a subscription requires a 3-month notice to the end of a subscription month.

6. User Obligations and Content Responsibilities

  • The User is responsible for providing legal data during registration and ensuring that payment methods work properly.
  • The User must ensure that the content generated using the Company's services does not violate any third-party intellectual property rights, does not contain pornographic material, and does not harm or offend any third party.
  • If such violations occur, the Company reserves the right to suspend or terminate the User's account without prior notice.

7. Manual Post-Processing

Users may request manual post-processing of AI-generated 3D models for a fee. Rates for manual post-processing depend on the selected subscription model.

8. Intellectual Property Rights

All software and related intellectual property rights are owned by the Company. However, Users retain all rights to AI-generated and manually post-processed 3D models created through the platform. The User grants the Company a non-exclusive license to use these assets solely for the purpose of improving the AI pipeline.

9. Data Protection

Both Parties must comply with applicable data protection laws. Identic.ai does not store User payment details. All payment information is securely handled by Stripe. For more information, please refer to the Privacy Policy available on the Website.

10. Liability

The Company is not liable for damages resulting from:

  • Technical malfunctions outside its control
  • Misuse or improper operation of IT systems and software
  • Actions of unauthorized third parties

Additionally, to the extent permitted by law, the Company excludes any liability for direct, indirect, or consequential damages, including loss of profit.

11. Termination

Either Party may terminate the subscription agreement with a six-month notice to the end of a subscription month. Upon termination, all services provided under the subscription model will cease.

12. Amendments and Modifications

These GTCs may be updated by the Company from time to time. Any updates will be communicated via the Website or email. The User may terminate the agreement if they do not agree with the changes.

13. Governing Law and Jurisdiction

This Agreement is governed by the substantive laws of Switzerland. Any disputes shall be resolved exclusively by the courts of the canton of Aargau, Switzerland.
